License Agreement

1. Definitions

For the purposes of this License Agreement ("Agreement"), the following terms shall have the meanings set forth below:

"Assets"

means any pre-made digital content provided by CandyMustache, Inc., including but not limited to video templates, motion graphics, design elements, footage, sound effects, and any other downloadable creative assets made available through the CandyMustache platform.

"AI Services"

means any artificial intelligence–powered tools, features, or models provided by CandyMustache that generate content based on user input, including but not limited to AI-generated video, images, audio, music, voice, animations, or other media.

"Input"

means any text, images, video, audio, prompts, files, or other materials submitted by the User to the AI Services for the purpose of generating content.

"Output"

means any content generated by the AI Services based on User Inputs, including audiovisual, visual, or audio content.

"Credits"

means the internal usage units required to access AI Services, as determined by CandyMustache and allocated according to the User's subscription plan or credit purchases.

"Subscription"

means an active paid plan that grants the User access to CandyMustache Assets, AI Services, or both, subject to the terms and limitations of this Agreement.

"Project"

means a creative work produced by the User that incorporates Assets and/or AI Output as part of a broader creation, such as a video, advertisement, presentation, social media post, or other digital or audiovisual production.

"User"

means any individual or legal entity that accesses or uses CandyMustache Assets, AI Services, or related features under this Agreement.

The use of the Services is also governed by CandyMustache's Privacy Policy, which is incorporated by reference, and the Terms of Use applicable to your use of the Platform.

2. Grant of License

Subject to your compliance with this Agreement and the maintenance of an active Subscription where required, CandyMustache, Inc. grants you a limited, non-exclusive, non-transferable, non-sublicensable, worldwide license to:

download and use the Assets made available under your Subscription;
access and use the AI Services in accordance with your available Credits;
incorporate Assets and/or AI Output into Projects for personal or commercial use, as permitted under this Agreement.

This license is granted solely for the purpose of creating Projects and does not transfer ownership of any Assets, AI Services, underlying technology, or intellectual property.

You may use Assets and AI Output only as integrated components of a Project. Assets and AI Output may not be used, distributed, sold, licensed, shared, or otherwise exploited as standalone files or products.

Access to AI Services is usage-based and governed by Credits. Credits are deducted at the time of generation, regardless of whether the generated Output is downloaded, exported, or used.

CandyMustache may, from time to time, introduce new tools, features, models, or services. Any such additions shall be considered part of the Services and subject to this Agreement unless otherwise stated.

3. Ownership & Intellectual Property Rights

All Assets, including but not limited to video templates, motion graphics, design elements, sound effects, and any other pre-made content made available through the CandyMustache platform, are and shall remain the exclusive property of CandyMustache, Inc. and are protected by applicable copyright, trademark, and intellectual property laws.

This Agreement grants you a license to use the Assets, not ownership. Except for the limited rights expressly granted under this Agreement, no rights, title, or interest in or to the Assets, CandyMustache platform, AI Services, or underlying technology are transferred to you.

AI Inputs and Outputs

As between you and CandyMustache:

You retain all rights, title, and interest in the Inputs you submit to the AI Services, provided that you have the necessary rights to use and submit such Inputs.
Subject to your compliance with this Agreement, you are granted the rights to use the Output generated by the AI Services for lawful personal or commercial Projects.
CandyMustache does not claim ownership of your AI Output. However, due to the nature of artificial intelligence:

Output may not be unique;
Similar or identical Output may be generated for other users;
Output may contain inaccuracies or unintended elements.

Laws regarding the copyrightability of AI-generated content are evolving, and CandyMustache makes no guarantee that any AI Output will be eligible for copyright protection in any jurisdiction.

User Inputs and AI Outputs are used solely to provide the Services to you. CandyMustache does not use User Inputs or AI Outputs to train, fine-tune, or improve AI models.

CandyMustache makes no guarantees regarding the originality, accuracy, or non-infringement of AI Output. You are solely responsible for reviewing and validating AI Output before use and for ensuring that your use complies with applicable laws and third-party rights.

Platform & Technology Rights

All rights in and to the CandyMustache platform, AI models, workflows, interfaces, algorithms, software, and underlying systems remain the exclusive property of CandyMustache, Inc. Nothing in this Agreement permits reverse engineering, extraction, replication, or use of CandyMustache technology except as expressly allowed under this Agreement.

4. Permitted Uses

Subject to your compliance with this Agreement and any applicable Subscription requirements, you are permitted to use CandyMustache Assets and AI Output as follows:

You may modify, edit, customize, and adapt the Assets and AI Output to create Projects.
You may use Assets and AI Output in Projects for personal or commercial purposes, including but not limited to:
- videos and films
- advertisements and promotional content
- social media content
- online platforms, websites, and digital campaigns
- presentations, slides, and audiovisual productions
You may publish, distribute, display, and monetize Projects that incorporate Assets and/or AI Output, provided such Projects are created in compliance with this Agreement.
If you create Projects for clients, you may deliver the final Project to your client. Your client may use the Project for its intended purpose, but this Agreement and the license granted herein remain solely between you and CandyMustache.
You may continue to display and distribute Projects created and published during an active Subscription, even after your Subscription ends, subject to the limitations set forth in this Agreement.
All permitted uses are conditioned on Assets and AI Output being used only as integrated elements of a broader Project and not as standalone files or products.

5. Prohibited Uses

You may not, directly or indirectly, engage in any of the following actions with respect to the Assets, AI Services, Inputs, or Output:

5.1 Standalone Distribution & Resale

Resell, redistribute, sublicense, share, or make available any Assets or AI Output as standalone files or products.
Offer Assets or AI Output for free or for sale as part of another product, service, library, or bundle, including stock marketplaces, template libraries, or digital asset platforms.
Allow third parties to download, extract, or access Assets or AI Output separately from a Project.

5.2 Competing & Derivative Services

Use Assets, AI Output, or any part of the CandyMustache platform to create or operate a product, service, or platform that competes with CandyMustache.
Use Assets or AI Output to build or enhance datasets, libraries, or collections intended for redistribution, licensing, or resale.
Use Assets or AI Output for training, fine-tuning, benchmarking, or improving artificial intelligence or machine learning models.

5.3 Misrepresentation & Ownership Claims

Claim ownership, authorship, or exclusive rights over any Assets.
Register Assets or AI Output in any content identification, rights management, or fingerprinting system (including but not limited to content ID or rights enforcement systems).
Incorporate Assets or AI Output into trademarks, logos, or service marks.

5.4 Illegal, Harmful, or Prohibited Content

Use Assets, Inputs, or AI Output in any manner that is illegal, fraudulent, defamatory, misleading, or harmful.
Use Assets or AI Services to create content that promotes violence, hate, discrimination, harassment, or exploitation.
Use AI Services to impersonate real individuals, create deceptive or misleading content, or misrepresent AI Output as human-created where such disclosure is required by law.
Fail to comply with applicable AI transparency, disclosure, or labeling requirements, including clearly disclosing AI-generated content where required by law (for example, political content or realistic synthetic media/deepfakes).

CandyMustache may use automated monitoring and filtering systems, including third-party AI safeguards, to block Inputs or Outputs that violate this Agreement. CandyMustache assumes no liability for the blocking or rejection of such content.

5.5 Circumvention & Abuse

Bypass, manipulate, or abuse subscription limits, credit systems, or usage restrictions.
Use automated tools, bots, scraping, or other methods to extract Assets, Outputs, or platform data without authorization.
Attempt to reverse engineer, decompile, or otherwise extract the underlying technology of the CandyMustache platform or AI Services.

6. Subscription, Credits & Access

6.1 Subscription Access

Access to CandyMustache Assets, AI Services, or both is provided on a subscription basis, unless otherwise stated. You may download Assets and use AI Services only while your Subscription is active and in good standing.

CandyMustache reserves the right to modify, add, or remove subscription plans, features, pricing, or access levels at any time.

Subscription fees are non-refundable except where required by applicable law. No prorated refunds or credits are provided for partially used billing periods.

By using the Services, you represent that you are at least 18 years old, or at least 13 years old with parental or guardian consent. If you do not meet this requirement, you may not use the Services.

6.2 Credits & AI Usage

Access to AI Services is governed by Credits allocated under your Subscription plan or purchased separately as one-off credit packages.
Credits are deducted at the time of AI generation, regardless of whether the generated Output is downloaded, exported, or used.
Annual subscription plans grant the entire annual credit allocation upfront at the start of the annual billing period, not in monthly increments.
Subscription Credits roll over and remain available as long as the User maintains an active Subscription. However, each individual grant of Subscription Credits expires after twelve (12) months from the date of grant if those credits remain unused. For example, if subscription credits are granted on January 1 and remain unused, those credits will expire on January 1 of the following year.
This twelve (12) month expiration rule applies only to Subscription Credits.
Credits purchased through one-off payments do not expire and remain available indefinitely.
Credits have no monetary value, are non-transferable, and are non-refundable.
Credits are inaccessible during any Account suspension and are not forfeited solely due to suspension; upon reinstatement, remaining Credits (subject to applicable expiration rules) become accessible again.
Credits are forfeited upon Account termination; this includes termination for cause, violations of this Agreement or the Terms of Use, or other termination events as permitted under the Agreement.
Certain business, enterprise, or custom subscription plans may have negotiated Credit pricing, allocations, or terms agreed separately with CandyMustache and stated in a separate written agreement.
CandyMustache reserves the right to adjust Credit costs, generation limits, or model availability at any time for operational, technical, compliance, or cost-related reasons.
CandyMustache may use automated safety filters and other safeguards to block or restrict certain prompts, Inputs, or Outputs that are illegal, harmful, or in violation of this Agreement. In some cases, Credits may be consumed even if an Output is blocked or restricted. Credits are not refunded for blocked or filtered generations.

6.3 Post-Cancellation Usage

Upon cancellation or expiration of your Subscription:

You may no longer download new Assets or access AI Services.
Any remaining Subscription Credits will be forfeited.
One-off purchased Credits may no longer be usable if access to AI Services requires an active Subscription.
You may continue to display, distribute, and monetize Projects that were created and completed during an active Subscription, and the commercial license for those Projects remains valid indefinitely, even if they are published after cancellation.
You may continue to use previously downloaded Assets for personal, non-commercial purposes only.
After cancellation, you may not create new commercial Projects using Assets or AI Services, nor reuse raw Assets or AI Output for new commercial purposes without an active Subscription.
Any AI Outputs, Projects, or account data deleted by the User cannot be recovered and CandyMustache assumes no responsibility for recovery of deleted content.

6.4 Account Integrity

You are responsible for maintaining the security of your account credentials.
You may not share your account, Credits, or Subscription access with others unless explicitly permitted under a specific plan.
CandyMustache reserves the right to suspend or terminate access in cases of suspected abuse, fraud, or violation of this Agreement.

7. Termination & Enforcement

CandyMustache, Inc. reserves the right to suspend or terminate your access to the platform, Assets, AI Services, Subscription, or Credits at any time if you violate this Agreement or misuse the Services.

Upon termination:

All licenses granted under this Agreement will immediately cease.
You must stop any unauthorized use, distribution, or exploitation of Assets or AI Services.
CandyMustache may remove access to your account, Projects, or stored content, subject to applicable law.

Deleted AI Outputs, Projects, files, or accounts cannot be recovered, and CandyMustache has no obligation to restore or retrieve deleted data.

Termination of this Agreement does not affect rights and obligations that by their nature are intended to survive termination, including but not limited to ownership, intellectual property rights, disclaimers, limitations of liability, and governing law.

CandyMustache's failure to enforce any provision of this Agreement shall not be deemed a waiver of such provision or any other rights.

CandyMustache will respond to valid notices of claimed copyright infringement in accordance with applicable law, including the U.S. Digital Millennium Copyright Act (DMCA). To submit a notice, provide written notification with sufficient detail to identify the allegedly infringing material and your contact information to the contact listed in Section 13. CandyMustache reserves the right to remove or disable access to material subject to a valid notice and to preserve its safe-harbor protections under the DMCA.

8. Disclaimer of Warranties

The CandyMustache platform, Assets, AI Services, and all related content and features are provided on an "as is" and "as available" basis.

To the maximum extent permitted by applicable law, CandyMustache, Inc. expressly disclaims all warranties of any kind, whether express, implied, statutory, or otherwise, including but not limited to:

implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement;
any warranties that the Assets, AI Services, or Output will be uninterrupted, error-free, secure, accurate, reliable, or free from defects;
any warranties regarding the originality, uniqueness, legality, or suitability of AI Output for any specific purpose.

Laws and regulations governing the copyrightability of AI-generated content are evolving. CandyMustache makes no representation or warranty that any AI Output will be eligible for copyright protection in any jurisdiction.

CandyMustache does not warrant that:

the Assets or AI Output will meet your requirements or expectations;
the AI Output will be free from inaccuracies, errors, or third-party claims;
the results obtained from the use of the Services will be predictable or consistent;
AI-generated music, audio, or lyrics will not resemble existing works or result in demonetization, copyright claims, or legal issues. You assume all responsibility for such risks when using AI-generated audio content.

You acknowledge that artificial intelligence–generated content may produce unexpected, incomplete, or inaccurate results and that you are solely responsible for reviewing, validating, and determining the appropriateness of any Assets or AI Output before use.

CandyMustache educational content, including courses, tutorials, lessons, and instructional materials, is provided for informational purposes only. CandyMustache does not guarantee results or endorse outcomes created by users following such content and assumes no responsibility for any consequences, damages, or losses arising from user implementation or application of educational materials.

CandyMustache is not responsible for how Users utilize Assets, AI Output, educational content, or the platform, including but not limited to unauthorized use, misuse, misrepresentation, or violation of third-party rights. Users bear sole responsibility for compliance with applicable laws and for obtaining necessary rights or permissions for any content used or created.

AI Services may rely on third-party providers. CandyMustache is not responsible for changes, restrictions, suspensions, or terminations imposed by such providers, and you acknowledge that the availability of those third-party services is outside CandyMustache's control.

No advice or information, whether oral or written, obtained from CandyMustache or through the Services shall create any warranty not expressly stated in this Agreement.

Some jurisdictions do not allow the exclusion of certain warranties, so some of the above disclaimers may not apply to you. In such cases, CandyMustache's warranties shall be limited to the maximum extent permitted by applicable law.

9. Limitation of Liability

To the maximum extent permitted by applicable law, in no event shall CandyMustache, Inc., its officers, directors, employees, affiliates, or partners be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to:

loss of profits, revenue, business, or goodwill;
loss of data or content;
service interruptions;
claims arising from the use of or inability to use the Assets, AI Services, AI Output, or platform.

This limitation applies regardless of the legal theory under which liability is asserted, including contract, tort (including negligence), strict liability, or otherwise, and even if CandyMustache has been advised of the possibility of such damages.

In no event shall CandyMustache's total cumulative liability arising out of or relating to this Agreement, the Services, Assets, or AI Output exceed the amount paid by you to CandyMustache in the twelve (12) months immediately preceding the event giving rise to the claim, or one hundred U.S. dollars (USD $100), whichever is greater.

Some jurisdictions do not allow the limitation or exclusion of liability for certain types of damages, so some of the above limitations may not apply to you. In such cases, CandyMustache's liability shall be limited to the maximum extent permitted by applicable law.

CandyMustache is not liable for any failure or delay in performance resulting from causes beyond its reasonable control, including but not limited to cloud infrastructure failures, third-party AI model outages, network failures, acts of God, war, terrorism, civil unrest, embargoes, strikes, or governmental actions.

10. Indemnification

You agree to defend, indemnify, and hold harmless CandyMustache, Inc., its officers, directors, employees, affiliates, and partners from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable attorneys' fees) arising out of or related to:

your use or misuse of the Assets, AI Services, or AI Output;
any Inputs you submit to the AI Services, including claims that such Inputs infringe or violate third-party rights;
your violation of this Agreement or applicable laws or regulations;
any Projects you create, publish, distribute, or monetize using Assets or AI Output.

CandyMustache reserves the right, at its own expense, to assume the exclusive defense and control of any matter subject to indemnification by you, in which case you agree to cooperate fully with such defense.

This indemnification obligation shall survive the termination or expiration of this Agreement.

11. Governing Law & Jurisdiction

This Agreement shall be governed by and construed in accordance with the laws of the State of Delaware, United States, without regard to its conflict of law principles.

Any legal action or proceeding arising out of or relating to this Agreement or the Services shall be brought exclusively in the state and federal courts located in the State of Delaware, and you hereby consent to the personal jurisdiction and venue of such courts.

All disputes must be brought on an individual basis. You waive any right to participate in class, collective, consolidated, or representative actions or arbitrations against CandyMustache.

12. Amendments & Updates

CandyMustache, Inc. reserves the right to modify, update, or replace this Agreement at any time.

Any changes to this Agreement will become effective upon posting the updated version on the CandyMustache website, unless otherwise stated. Your continued use of the Services, Assets, AI Services, or Subscription after such changes constitutes your acceptance of the revised Agreement.

If you do not agree to the updated terms, you must discontinue use of the Services and cancel your Subscription.

14. Severability

If any provision of this Agreement is held to be invalid, illegal, or unenforceable, that provision shall be interpreted or modified to the minimum extent necessary to make it enforceable, and the remaining provisions shall continue in full force and effect.
